1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RateAI, Inc. ("RateAI," "we," "us," or "our") governing your access to and use of the RateAI platform, website located at www.rateai.ai, APIs, evaluation services, certification programs, and any related services (collectively, the "Services").
By creating an account, submitting a model for evaluation, or otherwise accessing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
2. Description of Services
RateAI provides an independent AI safety rating and certification platform. Our Services include, but are not limited to:
- Multi-pillar AI model evaluation across the seven A.E.G.I.S.™ safety pillars
- Composite scoring and generation of RateAI Safety Scores
- Issuance of A.E.G.I.S.™ safety ratings and certifications
- Continuous monitoring of certified AI models
- Audit reports, certification badges, and tamper-evident ledger records
- API access for integration with third-party platforms
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice where practicable.
3. Eligibility
To use the Services, you must be at least 18 years of age and have the legal authority to enter into binding contracts. If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
The Services are not available to persons or entities that are barred from receiving services under applicable law, including individuals on U.S. or international sanctions lists.
4. Accounts & Registration
Access to certain features of the Services requires creation of an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately at security@rateai.ai upon becoming aware of any unauthorized use of your account.
RateAI reserves the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in conduct we deem harmful to the platform or its users.
5. Permitted Use
Subject to these Terms, RateAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, including submitting AI models for evaluation and displaying earned certification badges in accordance with our badge usage guidelines.
You may use evaluation reports and scores for internal decision-making, regulatory filings, marketing materials, and customer disclosures, provided that any such use accurately represents the scope and date of the evaluation.
6. Prohibited Conduct
You agree not to:
- Submit models specifically trained or fine-tuned to pass evaluations without reflecting genuine safety properties ("evaluation gaming")
- Misrepresent a RateAI rating, score, or badge, including claiming a rating for a model version not evaluated
- Reverse engineer, decompile, or attempt to extract RateAI's evaluation methodology, test prompts, or scoring algorithms
- Use the Services to develop a competing AI evaluation product without prior written consent
- Circumvent, disable, or interfere with security features of the platform
- Transmit malware, unauthorized automation, or excessively burdensome API requests
- Use the Services in any manner that violates applicable laws or regulations
7. Intellectual Property
All content, software, methodologies, evaluation frameworks, scoring algorithms, badge designs, the A.E.G.I.S.™ name and mark, and other materials comprising the Services are the exclusive property of RateAI, Inc. or its licensors and are protected by applicable intellectual property laws.
You retain all rights to the AI models you submit for evaluation. By submitting a model, you grant RateAI a limited, non-exclusive license to process and evaluate that model solely for the purpose of providing the Services.
RateAI evaluation reports issued to you are licensed for your use but remain the intellectual property of RateAI. Aggregated, anonymized evaluation data may be used by RateAI to improve its services and for industry research.
8. Evaluations & Ratings
RateAI evaluations represent an independent assessment at a specific point in time using a defined scoring epoch. A rating does not guarantee that a model will perform safely in all deployment contexts or that it is free from all vulnerabilities.
Ratings are valid for twelve (12) months from the date of issuance, subject to continuous monitoring. RateAI reserves the right to revise, suspend, or revoke a rating at any time if new information, model updates, or discovered vulnerabilities materially affect the evaluation outcome.
Users are solely responsible for their deployment decisions. A RateAI certification is one input into responsible AI governance and does not constitute legal advice, regulatory approval, or a warranty of fitness for any particular purpose.
9. Payment Terms
Certain Services are offered on a paid basis. Applicable fees will be disclosed prior to purchase. All fees are in U.S. dollars unless otherwise stated and are non-refundable except as required by applicable law or as expressly stated in your service agreement.
You authorize RateAI to charge your payment method for all fees incurred. If payment fails, we reserve the right to suspend access to paid Services until payment is received.
Prices are subject to change with thirty (30) days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
RATEAI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. EVALUATION RESULTS ARE PROVIDED FOR INFORMATIONAL PURPOSES AND DO NOT CONSTITUTE LEGAL, REGULATORY, OR PROFESSIONAL ADVICE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RATEAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
IN NO EVENT SHALL RATEAI'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless RateAI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
13. Termination
Either party may terminate the service relationship at any time. You may close your account by contacting hello@rateai.ai. RateAI may suspend or terminate your access immediately for material breach of these Terms.
Upon termination, your right to use the Services ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
For users located in the European Union, nothing in these Terms affects your rights under applicable EU consumer protection laws.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date above. For significant changes, we will provide additional notice via email or platform notification.
Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
